Israel Market Entry Structure Guide

Before establishing a presence in Israel, it is important to understand your structural options. The right choice depends on your goals, liability preferences, tax situation, and operational plans. Making the wrong structural choice early can be costly to unwind — so it is worth taking the time to understand the trade-offs before you begin.

Option 1 – Israeli Subsidiary

An Israeli subsidiary is a new, separate legal entity incorporated under Israeli law — typically as a private limited liability company. The parent company owns shares in the Israeli subsidiary, but the two entities are legally distinct.

For most foreign companies entering Israel for the first time, a subsidiary is the most common and often the most appropriate structure. See our Israeli subsidiary registration service.

Option 2 – Foreign Company Branch

A foreign company branch is a registered extension of your existing foreign company — not a new legal entity. The branch carries out business activities in Israel on behalf of the foreign parent.

See our foreign company branch registration service.

Option 3 – Direct Cross-Border Activity

In limited circumstances, a foreign company can conduct some activities in Israel without registering a local entity. However, if the level of activity is sustained or systematic, Israeli tax authorities may determine that the foreign company has a “permanent establishment” in Israel — triggering corporate tax obligations.

Important: We strongly recommend taking specialist tax advice before relying on a direct cross-border activity model. The risk of an unexpected permanent establishment determination — with its retrospective tax implications — is real.

How to Choose

There is no single right answer. Here are four practical questions to work through: Do you want to limit the parent company’s liability for Israeli operations? Will you be hiring Israeli employees? What are the tax implications in your home jurisdiction? Do you need a local Israeli banking relationship?
